1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of thefogroup.com (the "Platform"), operated by Medici Advisors, LLC, operating as The Family Office Group ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

The Platform is designed exclusively for family office professionals and qualified investors. By creating an account, you represent and warrant that:

• You are at least 18 years of age.
• You are an "Accredited Investor" as defined under Rule 501(a) of Regulation D of the Securities Act of 1933, as amended.
• You are either a "Qualified Client" as defined under Rule 205-3 of the Investment Advisers Act of 1940, or a "Qualified Purchaser" as defined under Section 2(a)(51) of the Investment Company Act of 1940 — or you represent an organization that meets one or more of these criteria.
• You have the legal authority to enter into these Terms, either individually or on behalf of the entity you represent.

We reserve the right to verify your eligibility and to deny or revoke access at our sole discretion if we determine that you do not meet the eligibility requirements.

3. Platform Description

The Platform provides a private networking community for family office professionals. Features include a member directory, event creation and management, peer messaging, a manager directory, and related tools designed to facilitate professional connections among family offices.

4. Important Disclaimers — Not a Broker-Dealer or Investment Adviser

Medici Advisors, LLC is not a registered broker-dealer, investment adviser, or registered investment adviser (RIA) under federal or state securities laws.

The Platform does not provide investment advice, financial advice, tax advice, legal advice, or any other professional advisory services. Nothing on the Platform constitutes a recommendation, solicitation, or offer to buy or sell any security, investment product, or financial instrument.

The manager directory feature of the Platform is provided solely as a peer-contributed informational resource. Inclusion of any investment manager, fund, or financial professional in the directory does not constitute an endorsement, recommendation, or referral by Medici Advisors, LLC or The Family Office Group. Users are solely responsible for conducting their own due diligence before engaging with any manager or making any investment decision.

Any information shared by members through the Platform — including investment interests, asset classes, check sizes, or manager experiences — reflects the views and opinions of individual members and does not represent advice or recommendations from Medici Advisors, LLC.

5. Securities Law Compliance

The Platform is not intended to facilitate the offer, sale, or purchase of securities. Members may not use the Platform to:

• Solicit investments or offer securities of any kind, whether registered or exempt from registration.
• Promote or market specific funds, investment vehicles, or financial products.
• Engage in any activity that would require registration as a broker-dealer or investment adviser under the Securities Exchange Act of 1934 or the Investment Advisers Act of 1940.
• Violate any applicable federal, state, or international securities laws or regulations, including rules promulgated by the SEC, FINRA, or any self-regulatory organization.

We reserve the right to remove any content or terminate any account that we believe, in our sole discretion, violates these restrictions.

6. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete information during registration and onboarding.
• Keep your account information up to date.
• Notify us immediately of any unauthorized use of your account.
• Not share your account credentials with any other person.

7. User-Generated Content

Members may submit content through the Platform, including profile information, event details, messages, manager directory listings, and notes ("User Content"). By submitting User Content, you represent that:

• You own or have the necessary rights to submit the content.
• The content is accurate and not misleading.
• The content does not violate any law, regulation, or third-party right.
• The content does not constitute a solicitation or offer of securities.

We do not endorse, verify, or assume responsibility for any User Content. We reserve the right to remove any User Content that violates these Terms at our sole discretion.

8. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law, regulation, or these Terms.
• Harass, abuse, or harm other members.
• Send spam, unsolicited commercial messages, or bulk communications.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to the Platform or other members' accounts.
• Interfere with or disrupt the Platform's infrastructure or services.
• Use automated means (bots, scrapers, crawlers) to access or collect data from the Platform.
• Upload malicious code, viruses, or any harmful material.

9. Manager Directory Disclaimer

The manager directory is a peer-contributed feature that allows members to share information about investment managers and financial professionals. This information is provided by individual members and has not been independently verified by Medici Advisors, LLC.

The presence of any manager, fund, or financial professional in the directory:

• Does not constitute an endorsement or recommendation.
• Does not imply any affiliation with or approval by Medici Advisors, LLC.
• Does not constitute investment advice or a solicitation of any kind.
• Should not be relied upon as the sole basis for any investment decision.

Users are solely responsible for evaluating any manager or investment opportunity and should consult with their own legal, tax, and financial advisors before making any investment decisions.

10. Intellectual Property

The Platform and its original content (excluding User Content), features, and functionality are owned by Medici Advisors, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without our prior written consent.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause and with or without notice, at our sole discretion. You may terminate your account by contacting us at the email address below. Upon termination, your right to use the Platform will immediately cease.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Medici Advisors, LLC, its officers, directors, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Platform, including but not limited to:

• Investment losses or financial decisions made based on information found on the Platform.
• Interactions with other members, including any manager introductions or recommendations shared through the Platform.
• Unauthorized access to or alteration of your data.
• Any interruption or cessation of the Platform's services.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify, defend, and hold harmless Medici Advisors, LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Platform, your User Content, your violation of these Terms, or your violation of any applicable law or regulation.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
